How to form an LLC in Vermont (2026)

Facts checked October 13 to 16, 2026.

To form a Vermont LLC, you file Articles of Organization with the Vermont Secretary of State, Business Services Division and pay a $155 state fee. Online filing is the method the state prefers, and the Secretary of State says it normally takes less than 1 business day, against 7 to 10 business days by mail. Each year after that, the LLC owes an annual report with a $45 fee, due within three months after the end of the LLC's fiscal year.1, 2, 3

What are the steps to form an LLC in Vermont?

Vermont keeps formation short: one name check, one filing with the Secretary of State, and a yearly report afterwards. The steps below carry each form and fee.

  1. Check that your LLC name is available with the Vermont Secretary of State, Business Services Division. You can reserve a name for $25 for 120 days.
  2. Name an agent for service of process in Vermont: a person or company with a Vermont address who accepts legal papers for the LLC.
  3. File the Articles of Organization ($155) with the Vermont Secretary of State, Business Services Division. The state fee is $155. Filing methods: Online (preferred, no extra fee), by mail, or walk-in at 128 State Street, Montpelier.
  4. Wait for approval: Online: normally less than 1 business day; mail: 7 to 10 business days.
  5. Recurring filing: Annual Report (due within 3 months after the LLC's fiscal year end); $45, fee $45.

The agent step asks for more than a name. Vermont wants an agent for service of process and, separately, a designated office for notices, and the two have different address rules (covered under the agent heading below).

The other step people skip is the annual report. Its due date depends on the fiscal year the LLC keeps, so there is no single statewide deadline to put in a calendar. Choosing a formation service instead of filing alone? The ranked list of LLC services in Vermont gives each one's first-year and second-year totals here.

How do you check and reserve a Vermont LLC name?

Search the Secretary of State's business records for the name first, then file an Application for Reserved Name if you need to hold it. Vermont charges $25, and the reservation lasts 120 days.1

Reserving is optional. It helps when the paperwork for the Articles isn't ready but you already have signage, a domain or a bank meeting tied to the name.

A name can also be lost later. For an LLC terminated over missed reports, our Vermont record notes name protection lost if not filed within five years of the due date.1

Who can be the agent for a Vermont LLC, and what is a designated office?

Vermont law lets the LLC's agent be "an individual resident of this State" or "a business organization that has a place of business in, and is authorized to conduct business in, this State". The statute calls this person the agent for service of process (11 V.S.A. §4007(2)), and the state's filing pages use the more familiar "registered agent".4, 5

The agent receives lawsuits and official papers for the company. Under 11 V.S.A. § 1655, the filing gives the agent's name, email, and address information, so an email address goes in alongside the address. The online form asks for "The physical address of your registered agent (a.k.a. the Registered Office)", so a physical address is expected there.4, 6

The designated office is a second, separate address. It is where the state sends notices, and Vermont law says it "may but need not be a place of its business" and "may but need not be located in this State". That gives an owner who lives elsewhere some room: the notice address can sit outside Vermont, even though the agent itself must qualify under the residency or business rule above.4

If you live in Vermont, you can serve as your own agent. Your own name, email and address then go in the agent fields of the filing. A service lists its own Vermont address there instead. Northwest Registered Agent lists its agent at $125 per year, and Inc Authority gives the first year free with formation before it renews at $249/year. The services that include an agent and the registered agent explainer go further on the choice.7, 8

How do you file Vermont's Articles of Organization, and how fast is it?

You can file the Articles online, by mail or in person in Montpelier, and online is the state's own choice (preferred, no extra fee). Online filings normally take less than 1 business day, while mailed ones take 7 to 10 business days.2

The state's fee table lists the Articles under 11 V.S.A. § 4023 and doesn't publish a separate price for online or paper filing.1

Vermont doesn't publish a paid expedite tier in the facts we hold. With online review already this quick, a service's own preparation time can be a large share of the wait, and it runs on a separate clock from the state's. The guide to how long LLC formation takes explains both, and the fastest stated filing list compares providers on their published times.

What does a Vermont LLC cost in the first and second year?

A Vermont LLC costs $155 to form and $45 a year for the annual report, plus whatever plan you buy. Because the report fee is a fixed state figure, each provider's second-year total in Vermont can be worked out.1

The table lists each provider's plan as we compare it, with Vermont's fees added. Rows follow our rating, and ties keep the editorial order explained on how we rate.

First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.

Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.

The second-year column holds the $45 report fee plus any plan renewal. Agent renewals are not in it. That gap shows up most with the low-cost plans. Inc Authority Free LLC totals $155 in the first year, the state fee alone, and $45 in the second; its agent then bills $249/year unless cancelled. Northwest Registered Agent totals $194 in year one; its included registered agent renews at $125/yr after year 1.1, 8, 9

Plans with a yearly price move the second year more. Tailor Brands Elite reaches $294 in year two and ZenBusiness Premium reaches $344, each with the report fee included. Read Inc Authority's profile and Northwest's pricing for what the low-cost plans leave out.

One state cost sits outside the table. Vermont's business entity income tax applies to LLCs electing partnership or S-corporation treatment, and for those LLCs it is generally a $250 minimum tax. Use the LLC cost calculator for your own plan mix, or the providers ordered by cost over the first and second year and the national LLC cost guide for the wider picture.10

What does a Vermont LLC file after it is formed?

A Vermont LLC files an annual report with the Secretary of State every year, with a $45 fee. It is due within three months after the end of the LLC's fiscal year, so an LLC on a calendar year files in the first quarter.1, 3

The rule comes from 11 V.S.A. § 4033. Because the deadline follows the fiscal year on record, an LLC that picks a different fiscal year moves its own due date with it.1

Missed reports can lead to the LLC's termination. Reinstatement under 11 V.S.A. § 4034 costs $35 per year missed, plus the overdue annual report(s) and annual report fee(s). Once granted, it relates back to and takes effect as of the effective date of termination, so the LLC's standing runs back to that date. The longer risk is the name, whose protection is lost if the overdue filing isn't made in time.1

Tax is a separate track. Vermont's business entity income tax uses Form BI-471 and applies to LLCs electing partnership or S-corporation treatment. At the federal level, a domestic LLC with at least two members is a partnership by default, so whether the Vermont return applies to a multi-member LLC is a question for an accountant. The S corporation election guide covers the federal side.10, 11

Formation services handle the report in different ways. Northwest Registered Agent sells annual report filing at $100 + state fees, and its registered agent customers are auto-enrolled in that service; its facts don't name Vermont. The annual report guide separates services that file the report from those that only send reminders.12

How do you change a Vermont LLC's agent?

You change the agent or the designated office by filing a Statement of Change with the Secretary of State under 11 V.S.A. § 4008. The fee is $35.1

File the change first and cancel the old service afterwards, so the record never shows a gap.

An agent can also quit. It files a statement of resignation and delivers a copy to the LLC. The agency ends 30 days after the Secretary files it, or earlier when a new agent's designation takes effect. That rule came in with 2025 Act 10. If the LLC files a Statement of Change naming a new agent before then, the old agency ends when that change takes effect.4

What if your LLC was formed in another state?

An LLC formed elsewhere registers in Vermont with an Application for Certificate of Authority, and the fee is $155.1

The agent rules quoted on this page come from the domestic LLC statute. The facts we hold don't set out the agent rules for a foreign LLC, so the application itself is the place to check them.

That fee equals the $155 cost of forming a new Vermont LLC, so price alone won't decide between registering an existing company and starting a new one here. Where the business operates and how it is taxed decide that, which is a question for an accountant or lawyer. The foreign LLC guide explains the process, and the state fees table compares Vermont with New Hampshire, Massachusetts and New York.1

Vermont LLC questions

How much does it cost to start an LLC in Vermont?

The state fee for the Articles of Organization is $155. Reserving a name first adds $25, and it is optional. Any formation service adds its own plan price on top of the state fee.1

How long does Vermont take to approve an LLC?

Online filings normally take less than 1 business day. Paper filings sent by mail take 7 to 10 business days. A formation service's own preparation time comes on top of the state's review.2

When is the Vermont LLC annual report due?

It is due within three months after the end of the LLC's fiscal year. The fee is $45, paid to the Secretary of State. The date moves with the fiscal year the LLC keeps, so check yours on the state record.1, 3

Can my Vermont LLC's designated office be outside Vermont?

Yes. Vermont law says the designated office "may but need not be located in this State" and "may but need not be a place of its business". The agent is a separate role, filled by a Vermont resident or by a business organization with a place of business in Vermont that is authorized to do business there.4

What happens if a Vermont LLC misses its annual report?

The LLC can be terminated by the state. Reinstatement costs $35 per year missed, plus the overdue annual report(s) and annual report fee(s). Wait too long and name protection goes too: name protection lost if not filed within five years of the due date.1

How do I change my registered agent in Vermont?

File a Statement of Change with the Secretary of State. The fee is $35, and the same filing also changes the designated office.1

Do I need an EIN for a Vermont LLC?

The Secretary of State doesn't issue one; it comes from the IRS, and it is free; the IRS never charges a fee for an EIN. The EIN guide explains when an LLC needs its own.13
