How to form an LLC in New Mexico (2026)
Facts checked October 13 to 16, 2026.
You form a New Mexico LLC online through the SOS Business Portal (enterprise.sos.nm.gov), because the New Mexico Secretary of State no longer takes paper business filings. The LLC also needs a registered agent: an individual resident of New Mexico or a business with a place of business in the state. Our record has no verified state filing fee. Check it on the portal before you file, and note that a $50 annual franchise tax applies only to an LLC taxed as a corporation.1, 2, 3
What are the steps to form an LLC in New Mexico?
Our record supports three state steps for New Mexico and leaves several figures for you to confirm on the portal itself. The list below shows those steps with the state's filing method.
- Check that your LLC name is available with the New Mexico Secretary of State.
- Name a registered agent in New Mexico: a person or company with a New Mexico address who accepts legal papers for the LLC.
- File the formation document with the New Mexico Secretary of State. Filing methods: Online only, through the SOS Business Portal (enterprise.sos.nm.gov).
Every step that touches the state happens on one website. The Secretary of State says plainly that "We will no longer accept paper filings for any business applications." So there is no paper form to mail or hand in. The office is also closed to in-person, walk-in Business Services customers on Fridays, so plan any in-person question for another weekday.1
What the list can't show is a fee, a form name or a review time. None of the three is in our verified record for New Mexico, and rather than guess, this page leaves those blanks visible. If you'd rather hand the filing to a service, the ranked list of LLC services in New Mexico compares them on plan price, stated speed and agent terms.
How do you choose a name for a New Mexico LLC?
Check that the name is available with the New Mexico Secretary of State before you file. Our record doesn't say which search tool the office provides, only that the formation filing itself goes through the Business Portal.
Our record has no verified New Mexico name reservation fee or holding period, so this page doesn't say whether a reservation is available or what it would cost.
Think about the name and the agent together, since the formation filing names both. Our record has no verified New Mexico form or fee for changing the agent later (see the section on changing agents below).
Who can be a registered agent in New Mexico?
New Mexico law (NMSA 1978 § 53-19-5) allows three kinds of agent. They are an individual resident of New Mexico, a domestic corporation, LLC or partnership having a place of business in New Mexico, or a foreign corporation, LLC or partnership authorized to transact business in New Mexico having a place of business that is the same as the registered office.2
A registered agent is the person or company that accepts lawsuits and state notices for the LLC. In New Mexico the agent works from a registered office, and the statute says the LLC keeps a registered office that may be the same as the limited liability company's principal place of business. Put simply, a small business run from a storefront in Las Cruces or Santa Fe can list that storefront as both its main address and its agent's office, as long as the agent is someone allowed to serve.2
That flexibility cuts both ways for an owner who works from home. Naming yourself, if you live in New Mexico, costs nothing, but you then need to be reachable at that address for legal papers, and our record doesn't say which addresses New Mexico's filings make public. A registered agent service lists its own office instead, and prices from the providers we compare vary widely.
- Northwest Registered Agent lists its agent service at $125 per year.4
- Inc Authority includes the agent free for the first year with LLC formation, then charges $249/year.5, 6
- Bizee (formerly Incfile) includes a free first year of agent service with any Bizee formation package, and it then costs $149/year.7, 8
- Tailor Brands sells the agent on its own at $199/year.9
- ZenBusiness offers 50% off the first year ($99) when you form with it.10
The list of services with a registered agent included sorts these offers, and the Northwest pricing page and Inc Authority pricing page show what each renewal adds.
How long does New Mexico take to approve an LLC?
Our record has no verified standard review time for New Mexico, and no verified expedite option or fee. The filing itself runs through the SOS Business Portal (enterprise.sos.nm.gov).1
A formation service's stated speed covers only its own side of the job. Tailor Brands states 1 business day on its Elite plan and ZenBusiness states 1 business day, but those are the providers' own stated processing times, and the state's review is a separate step. The guide to how long LLC formation takes separates the two clocks, and the fastest stated filing list orders providers by their own published times.
What does a New Mexico LLC cost in the first and second year?
We can't give a full first-year total for New Mexico, because our record has no verified state filing fee. What we can show is each provider's plan, and the plan cost across both years before any state fee.
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | Can't total | Can't total |
| LegalZoom | Managed Service | Can't total | Can't total |
| Bizee (formerly Incfile) | Premium | Can't total | Can't total |
| ZenBusiness | Premium | Can't total | Can't total |

Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
Every row reads "Can't total" for the same reason. The figure that usually anchors a state total, the filing fee, isn't in our verified record for New Mexico. Plan prices are still comparable. Across the first and second year, before state fees, Tailor Brands Elite comes to $498, ZenBusiness Premium to $598, Northwest Registered Agent to $39 and Inc Authority to $0. Those last two leave out the agent each includes for the first year only: Northwest Registered Agent's included agent renews at $125/yr after year 1, and Inc Authority's costs $249/year. Add the portal's fee to any of these once you've seen it.6, 11
The year-two side has a second gap. Our record doesn't confirm whether a New Mexico LLC files a recurring report with the Secretary of State, so there is no state renewal figure to add either. The tax side is clearer, and the next section covers it. For your own mix of plan and agent, try the LLC cost calculator; the guide to what an LLC costs and the state fees table cover the same ground for states where the fee is verified.
What does a New Mexico LLC owe after it is formed?
The one recurring state charge our record confirms is tax, not a report. New Mexico's $50 annual franchise tax applies only if the LLC is taxed as a corporation for federal purposes, and it is reported on form CIT-1, Corporate Income and Franchise Tax Return, according to the Taxation and Revenue Department.3
How the LLC is taxed for federal purposes decides whether that applies. Under IRS rules, a single-member LLC is disregarded as separate from its owner by default, and a domestic LLC with at least two members is a partnership by default. An LLC is taxed as a corporation only if it chooses to be, for example by filing Form 8832, Entity Classification Election. The department's page doesn't address LLCs taxed as partnerships or disregarded entities, so if your LLC keeps the default treatment, confirm with the department or an accountant what it files.12, 13, 14
The other open question is a recurring report. Because we couldn't confirm from an official page whether New Mexico LLCs file one, this page lists no deadline or fee for it. Some plans include report filing wherever a state requires it. Tailor Brands lists mandatory report filing on its higher plans, Northwest Registered Agent charges $100 + state fees per report, and LegalZoom lists a single report filing at $99 + state filing fees. Whether any of them has a New Mexico report to file depends on the answer the state gives you. The package contents guide explains which plan items are filings and which are reminders.15, 16, 17
Two federal points apply to most new LLCs. An EIN, the federal tax ID, comes from the IRS, and the IRS never charges a fee for an EIN; if approved, the EIN is issued immediately online. Domestic LLCs no longer file beneficial ownership reports: U.S. companies are permanently exempt from BOI reporting under a FinCEN final rule effective August 14, 2026.18, 19
How do you change or lose a registered agent in New Mexico?
Our record has no verified form name or fee for changing a New Mexico agent. The two rules we can confirm are about timing.
When an agent quits, it delivers written notice, and its appointment ends 30 days after the notice is received or when a successor is appointed, whichever is first. That window is the time you have to name a replacement before the LLC is left without one.20
A gap has a cost. New Mexico treats it as grounds for administrative revocation when an LLC fails for 30 days to appoint and maintain a registered agent. If you're switching services, file the new agent first and cancel the old one after the state shows the change.21
What if your LLC was formed in another state?
An LLC formed elsewhere that does business in New Mexico may need to register here as a foreign LLC. The SBA explains that a business active in other states may need to foreign qualify there by filing a Certificate of Authority; fees vary by state. Our record has no verified New Mexico foreign registration fee or form.22
The agent rules on this page come from the statute for New Mexico LLCs (NMSA 1978 § 53-19-5), and our record doesn't cover the agent rules for a registered foreign LLC, so confirm those with the New Mexico Secretary of State. Whether to register an existing company or form a new New Mexico LLC depends on where the business runs, so it's a question for an accountant or lawyer. Neighboring states with verified figures include Arizona, Colorado and Texas.2
New Mexico LLC questions
Can I file New Mexico LLC paperwork by mail?
No. The New Mexico Secretary of State says "We will no longer accept paper filings for any business applications." Formation and later business filings go through the SOS Business Portal (enterprise.sos.nm.gov).1
How much is the New Mexico LLC filing fee?
Our record has no verified New Mexico filing fee, so this page doesn't state one. Check the fee on the Business Portal before you file. A formation service adds its plan price on top of whatever the state charges.
Who can be a registered agent for a New Mexico LLC?
Under NMSA 1978 § 53-19-5, the agent can be an individual resident of New Mexico or a domestic corporation, LLC or partnership having a place of business in New Mexico. An out-of-state corporation, LLC or partnership authorized to do business in New Mexico can serve too, if its place of business there is the registered office. The registered office can be the LLC's principal place of business.2
Does a New Mexico LLC pay franchise tax?
Only if it is taxed as a corporation for federal purposes. In that case the $50 annual franchise tax is reported on form CIT-1, Corporate Income and Franchise Tax Return. An LLC that keeps the default federal tax treatment isn't covered by the department's statement, so confirm its filings with the department or an accountant.3
What happens if my New Mexico LLC goes without a registered agent?
The state can revoke the LLC. The statute makes it grounds for administrative revocation when an LLC fails for 30 days to appoint and maintain a registered agent. Name a new agent before cancelling the old one.21
How long does an agent's resignation take to end in New Mexico?
The agent delivers written notice, and the appointment ends 30 days after the notice is received or when a successor is appointed, whichever is first. You can end the gap sooner by naming a successor.20
Does a New Mexico LLC file an annual report?
We couldn't confirm it from an official page, so we don't list a deadline or fee. Ask the New Mexico Secretary of State or check the Business Portal, and ask any formation service whether its report filing covers New Mexico.
