How to form an LLC in Colorado (2026)

Facts checked October 13 to 15, 2026.

You form a Colorado LLC by filing Articles of Organization online with the Colorado Secretary of State for a $50 fee, and there is no paper version. Online filings take effect immediately after payment, so the company can exist the same day. After that, the LLC files a Periodic Report each year in its reporting month, and the report fee is $25.1, 2

What are the steps to form an LLC in Colorado?

Colorado keeps formation short: pick a name, line up a registered agent, file the Articles online, then keep up with one yearly report. Each step, with its form and fee, is listed below.

  1. Check that your LLC name is available with the Colorado Secretary of State. You can reserve a name for $25 for 120 days (renewable).
  2. Name a registered agent in Colorado: a person or company with a Colorado address who accepts legal papers for the LLC.
  3. File the Articles of Organization with the Colorado Secretary of State. The state fee is $50 (online only). Filing methods: Online only (no paper form).
  4. Wait for approval: Online filings take effect immediately after payment (unless a delayed effective date is chosen). Faster options: $150 additional for expedited paper filing (fulfilled within 3 business days); online filings are effective immediately; no expedite for curing delinquency.
  5. File the recurring report (Periodic Report (yearly, filed online)): due every year in the entity's Periodic Report month; can be filed two months before or two months after it without penalty, fee $25.

Colorado lets you control one part of the timing. Online Articles take effect on payment unless a delayed effective date is chosen. A delayed effective date can help if you want the LLC to start on the first of a month or after a lease is signed.2

The state also lists a paid rush option, expedited paper filing at $150, fulfilled within 3 business days. It doesn't help with new Articles. The Articles of Organization have no paper form (the forms page lists the paper version as "Not available"), and an online filing is already in effect once paid.1, 3

Once the LLC exists, the federal tax ID and the operating agreement come next; our guides to getting an EIN and writing an operating agreement cover both. If you would rather hire a formation service than file yourself, the Colorado ranking of LLC services compares them with the state fee added.

How do you check and hold a Colorado LLC name?

Search the Colorado Secretary of State business records first, then file a name reservation if you are not ready to form yet. It costs $25 and lasts 120 days, and you can extend it with a Statement of Renewal of Reservation of Name.4

Filing the Articles straight away also secures the name, since the online filing takes effect at once. The hold earns its fee when you need a few weeks to sign up partners or settle on a structure.

A name can also be lost later. When an LLC becomes delinquent, Colorado holds its name for 400 days from the date of delinquency. Past that window the state no longer holds the name for the company.1

Who can be a registered agent for a Colorado LLC?

Under C.R.S. § 7-90-701, a Colorado registered agent can be an individual who is eighteen years of age or older and whose primary residence or usual place of business is in this state. An LLC in good standing with a usual place of business in Colorado may serve as its own registered agent.5

That last rule gives Colorado owners an extra choice. An owner whose company has its own office in Colorado can list the LLC as the agent, with no outside person or service. The agent's job stays the same either way: accept lawsuits and official state notices for the LLC. Our registered agent guide explains the role in more depth.

Paid services are the other route. Northwest Registered Agent lists its agent service at $125 per year and says Northwest's address is listed on public filings instead of the owner's, and Inc Authority includes an agent with its free formation plan for the first year, then charges $249/year. The list of plans that include a registered agent shows the rest, and Northwest's pricing page breaks down its fees.6, 7

How long does Colorado take to approve an LLC?

The state's own checklist answers this. Online filings take effect immediately after payment, so an LLC filed online exists once the $50 fee is paid.1, 2

Filing is Online only (no paper form). You fill in the Articles on the Secretary of State's website and pay the fee there.3

Any wait you see comes from the step before filing. A formation service needs time to collect your details and submit the Articles, and each states its own time for that. Tailor Brands states 1 business day on its Elite plan and Inc Authority states 24 hours. Because the state side is instant here, those stated times are close to the whole wait. The LLC timeline guide explains how state and provider times add up elsewhere, and the list ordered by stated filing time compares every provider.

What does a Colorado LLC cost in the first and second year?

A Colorado LLC costs $50 to form and $25 a year for the Periodic Report. A service plan, if you use one, sits on top of both.1

The table gives each provider's first- and second-year totals in Colorado with the plan we compare. Rows follow our rating, and ties keep the editorial order set out in how we rate.

First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.

Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.

In our Colorado record the only yearly state charge is the flat report fee, so the second-year column can be filled in for every provider. The spread comes from plan renewals. Tailor Brands Elite totals $299 in year one and $274 in year two because the plan bills yearly. Inc Authority Free LLC totals $50, the state fee alone, and $25 the year after; its included registered agent then renews at $249/year unless you cancel, and that charge is not in the table.7

Northwest Registered Agent totals $89 in the first year. Its plan follows the same pattern as Inc Authority's, with a lower price later: the included registered agent renews at $125/yr after year 1, which the table also leaves out. The Inc Authority profile and Northwest profile list what else each plan leaves out.8

The LLC cost calculator lets you swap plans, and the national guide to LLC costs puts Colorado's fee next to other states'.

What does a Colorado LLC file each year?

A Colorado LLC files a Periodic Report online every year, in the month assigned to it, for $25. The state accepts it two months prior to the Periodic Report month or two months after without any penalty, so the filing window spans several months.1, 9

You find the month on the entity's Summary page in the state's business database. In the state's words, the report "must be filed electronically through our website". Filing it lets the LLC update the principal office address and registered agent information.9

Missing the window has two costs. The state adds a $50 late filing penalty, and the LLC becomes Delinquent if still not filed, a status the company clears by filing a $100 Statement Curing Delinquency. For an LLC delinquent for several years, the state's delinquency FAQ says the cure is filed under penalty of perjury with an affidavit and photo ID. A dissolved LLC uses a different filing: $100 Articles of Reinstatement for a dissolved LLC. There is no expedite for curing delinquency, so a cure can't be rushed.1

Some formation plans file this report for you. Tailor Brands Elite lists mandatory report filing, and ZenBusiness Premium lists filing of state-required annual reports. Northwest Registered Agent sells it separately, at $100 + state fees per report. Compare that with the state's own $25 fee. The annual report guide and the package contents guide explain the difference between a plan that files and one that only reminds.1, 10, 11, 12

Our Colorado record has no franchise tax or newspaper publication entry, so neither appears on this page. Ask an accountant how state income and sales taxes apply to your business.

How do you change a Colorado registered agent?

You change a Colorado registered agent by filing a Statement of Change Changing the Registered Agent Information online for $10, or by updating the agent while you file the Periodic Report. The state says you can update the agent on the Periodic Report.1

The report route costs nothing extra but only works in your reporting window. Outside it, the separate statement is the way to switch, and it should be on file before you cancel the old agent service.

An agent can quit, too. A resigning agent files a Statement of Change Regarding Resignation or Other Termination of Registered Agent and must deliver notice to the entity. The resignation can take effect at once or on a delayed date up to 90 days after filing. If the LLC names no replacement, the state's rule is that the LLC becomes Delinquent if it fails to appoint a new registered agent after the agent resigns.13, 14

What if your LLC was formed in another state?

An LLC formed elsewhere registers in Colorado by filing a Statement of Foreign Entity Authority online, and the fee is $100. Our Colorado record doesn't list what else the statement asks for, so read the form on the Secretary of State's site before filing.1

That fee is higher than the $50 for new Articles here. Which route fits (registering the existing company or forming a new Colorado one) depends on where you do business and how you are taxed, so it is a question for an accountant. The foreign LLC guide covers the choice, and the state fees table compares Colorado with neighbors such as Wyoming, Utah and New Mexico.1

Colorado LLC questions

How much does it cost to start an LLC in Colorado?

The Colorado Secretary of State charges $50 for the Articles of Organization, filed online. Reserving a name first adds $25. A formation service adds its plan price, and the cost table above shows each provider's first- and second-year totals in Colorado.1, 4

How fast is a Colorado LLC approved?

Online filings take effect immediately after payment, unless you pick a later effective date. There is no state review wait to speed up. If you use a service, its own stated preparation time is the delay to plan for.2

Can I file Colorado Articles of Organization by mail?

No. The Articles are filed online only, and the forms page lists the paper version as "Not available". The paid rush service on the fee schedule applies to paper filings, so it doesn't apply to forming a new LLC.3

When is the yearly Colorado report due?

It is due once a year in the LLC's Periodic Report month, and the state accepts it two months prior to the Periodic Report month or two months after without any penalty. The fee is $25. The month appears on the LLC's summary page in the state's business database.1, 9

What happens if a Colorado LLC files its yearly report late?

Colorado adds a $50 late filing penalty, and the LLC becomes delinquent if the report still isn't filed. Fixing that takes a $100 Statement Curing Delinquency, and the state holds a delinquent LLC's name for 400 days from the date of delinquency.1

Can my Colorado LLC be its own registered agent?

Yes, if it meets the statute. Under C.R.S. § 7-90-701, an entity in good standing with a usual place of business in Colorado may serve as its own registered agent. The statute also lets an individual serve who is eighteen years of age or older and whose primary residence or usual place of business is in this state.5

How do I register an out-of-state LLC in Colorado?

File a Statement of Foreign Entity Authority online for $100. Our Colorado record doesn't list the statement's other contents, so check the form on the Secretary of State's site. Whether to register the existing LLC or form a new Colorado one depends on where the business operates, which is a question for an accountant.1
