How to form an LLC in Wisconsin (2026)
Facts checked October 13 to 16, 2026.
You form a Wisconsin LLC by filing the Articles of Organization (Form 502) with the Wisconsin Department of Financial Institutions. The state fee is $130 online or $170 by mail, and online filings are usually accepted on receipt with immediate notice. After the first calendar year, the LLC files an annual report (Form 5) each year during the calendar quarter in which the registration anniversary falls, for $25 online or $40 by mail.1, 2, 3, 4
What are the steps to form an LLC in Wisconsin?
Forming the LLC takes one state filing, with a few choices around it, and every step in the list below runs through the Department of Financial Institutions (DFI). Each step below shows its form and fee.
- Check that your LLC name is available with the Wisconsin Department of Financial Institutions.
- Name a registered agent in Wisconsin: a person or company with a Wisconsin address who accepts legal papers for the LLC.
- File the Articles of Organization - Limited Liability Company (Form 502); $130 online, $170 on paper with the Wisconsin Department of Financial Institutions. The state fee is $130 online, $170 by mail. Filing methods: Online (DFI online filing) or paper form by mail; paper filings may also be emailed as PDF after paying online.
- Wait for approval: Online: usually accepted on receipt with immediate notice; no standard time published for paper filings. Faster options: $100 next-business-day expedite; in-person counter: $250 within 4 hours, $500 within 1 hour.
- File the recurring report (Annual Report (Form 5)): due each year after the year of registration, during the calendar quarter in which the registration anniversary falls, fee $25 online, $40 by mail.
The fee line in that list is worth a second look. Wisconsin charges less when you file online than on paper, and the gap applies twice: once for the Articles and again every year for the annual report. If you are comfortable with a web form, the online route is the cheaper one for both.
The name check and the registered agent both come before the filing, as the order above shows. Our state record doesn't include a verified name reservation fee for Wisconsin, so this page doesn't quote one; ask DFI if you want to hold a name before filing.
Once DFI accepts the Articles, the federal side follows. An EIN from the IRS is free; the IRS never charges a fee for an EIN, and our EIN guide explains who needs one. What are Wisconsin's rules for a registered agent and office?
Wisconsin's rule centers on the office, not the person. Under Wis. Stat. § 183.0115, the registered office must be an actual physical location with a street address and not solely a post office box, mailbox service, or telephone answering service.6
That rules out using a P.O. box or a mail drop by itself as the LLC's official address for legal papers. A home or business street address can meet the rule, and so can the street address of an agent service.
Wisconsin also keeps an email address on record for the agent. The statute's fee list covers a statement of change for the registered agent's name, e-mail address, or street address, and the annual report asks for the registered agent name/email and office address. If the agent's email changes, that is a filing too.2, 7
Our record quotes the address rule but not the full list of who may serve, so check the statute's text on the legislature's site before naming yourself or a friend. If you would rather not list your own street address as the registered office, an agent service lists its address there instead. Northwest's pricing page and the list of plans that include a registered agent show what each charges and for how long, and the registered agent guide covers the role itself.
How do you file the Wisconsin Articles of Organization, and how fast is it?
You file the Articles of Organization - Limited Liability Company online through DFI or on the paper form by mail. Online filings are usually accepted on receipt with immediate notice. Paper filings have no standard time published.1, 3
Paper filers have a middle route. Per DFI, paper filings may also be emailed as PDF after paying online, which skips the mail but still uses the higher paper fee.3
Faster review options
Most online filers won't need to pay for speed, since online filings are usually accepted on receipt. Paper filings are different. DFI offers these faster options.
- $100 next-business-day expedite, charged for each transaction. Requests are acted on by the close of business the following business day.4
- In-person counter service, $250 within 4 hours.4
- In-person counter service, $500 within 1 hour.4
A formation service's stated speed is a separate clock from the state's. A service prepares and sends your Articles on its own stated timeline, and then DFI reviews them on its own schedule. The LLC timeline guide explains the two, and the fastest stated filing list compares providers on their own published times.
What does a Wisconsin LLC cost in the first and second year?
Filing online, a Wisconsin LLC costs $130 in state fees for year one and the $25 annual report fee in year two. Paper costs more both years. Any service plan, agent or expedite fee comes on top.
The table gives each provider's first- and second-year totals in Wisconsin with the plan we compare. Rows follow our rating, with ties in editorial order, as how we rate explains.
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | $379 | $274 |
| LegalZoom | Managed Service | $379 | $25 |
| Bizee (formerly Incfile) | Premium | $429 | $25 |
| ZenBusiness | Premium | $429 | $324 |
| Swyft Filings | Standard | $329 | $25 |
| doola | Starter | $427 | $322 |
| Inc Authority | Free LLC | $130 | $25 |
| InCorp Services | LLC Formation Service | $229 | $25 |
| Northwest Registered Agent | Northwest LLC formation | $169 | $25 |
| BizFilings | Core | $329 | $25 |
| Rocket Lawyer | Standard membership | $279 | $174 |
| Harbor Compliance | Standard Formation | $229 | $25 |
Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
Wisconsin is a state where the second-year column can be filled in, because the annual report has a fixed fee. Those totals use the online fee and add each plan's renewal. They leave out registered agent renewals after a free period, which change the picture.
Take the lowest first-year total. Inc Authority Free LLC comes to $130, the state fee alone, and $25 in year two. Its agent, free for the first year, then renews at $249/year, which the second-year figure doesn't count. Northwest Registered Agent totals $169 and then $25, and its included registered agent renews at $125/yr after year 1.8, 9
Plans that bill every year show the opposite pattern. Tailor Brands Elite reaches $274 in year two and ZenBusiness Premium reaches $324, but both plans list annual report filing, as the next section shows.
For other combinations, try the LLC cost calculator. The cheapest services list and the national LLC cost guide cover the same question outside Wisconsin. On the filing fee alone, Wisconsin's $130 online charge compares with $150 in Illinois and $50 in Michigan, while Minnesota charges $135 by mail, $155 online or in person. The median across the states we track is $100.10, 11, 12
What does a Wisconsin LLC file after it is formed?
A Wisconsin LLC files the annual report (Form 5) with DFI. The first one is due in the year after the LLC registered, during the calendar quarter in which the registration anniversary falls. It costs $25 online or $40 by mail.2, 4
The due date is tied to your own filing date, not a single statewide deadline. An LLC registered in, say, the spring files during a spring quarter each year after its first. The Form 5 paperwork itself notes a $15.00 paper surcharge for paper filing.4
The report asks for the registered agent name/email and office address, the principal office address, and the name of at least one manager or member. So each year's report names at least one person who runs the LLC.7
Missing the report doesn't bring a fine. In the words of DFI's page on administrative dissolutions, "There are no late fees or penalties." Instead, the LLC is marked delinquent, and it can cure by filing a current annual report and paying back annual report fees. Filing within your quarter keeps the LLC off the delinquent list.4
Several services sell annual report filing as a general service; none of the facts below names Wisconsin's Form 5 specifically. Tailor Brands lists mandatory report filing on its Elite plan and ZenBusiness lists filing of state-required annual reports on Premium. Others charge per report: Northwest Registered Agent at $100 + state fees, LegalZoom at $99 + state filing fees and InCorp Services at $89 + state fees. The package contents guide separates plans that file the report from plans that only send reminders, and the annual report guide covers how reports work across states.13, 14, 15, 16, 17
Does a Wisconsin LLC pay franchise tax?
Usually not. Our state record shows no separate LLC franchise tax; the LLC follows its federal tax classification.18
Under federal rules, a single-member LLC is disregarded as separate from its owner by default, and a domestic LLC with at least two members is a partnership by default. In both cases the LLC's profits pass through to the owners' own returns rather than being taxed at the company level. The picture changes after a corporate election. An LLC taxed as a corporation under federal rules is treated as a corporation for Wisconsin purposes, per the Wisconsin Department of Revenue, and corporation-taxed LLCs pay Wisconsin corporate franchise/income tax. Whether a corporate election suits your LLC is a question for an accountant; the S corporation election guide explains the federal side.18, 19, 20
How do you change a Wisconsin registered agent?
You change a Wisconsin registered agent by filing a Statement of Change (Form 13) with DFI. It costs $10 online or $25 by mail, and per DFI, the agent can also be changed on the annual report.2, 21
Filing on the annual report saves the separate fee if the timing lines up. If it doesn't, file Form 13 first and cancel the old service after DFI accepts the change, so the LLC is never without an agent on record. The same statement covers a new agent email or street address.21
A Wisconsin LLC that also does business in another state may need to register there, since a business active in other states may need to foreign qualify there by filing a Certificate of Authority; fees vary by state. That state's own rules then apply, and the state fees table lists each state's fees, including Iowa.22

Can a P.O. box be a Wisconsin registered office?
No. Wisconsin law (Wis. Stat. § 183.0115) says the registered office must be an actual physical location with a street address and not solely a post office box, mailbox service, or telephone answering service. A street address, your own or an agent service's, can meet the rule.6
Does Wisconsin charge an LLC franchise tax?
Our state record shows no separate LLC franchise tax. A single-member or multi-member LLC is taxed under its federal classification by default, while an LLC taxed as a corporation is treated as one for Wisconsin purposes. An accountant can say which applies to yours.18
