How to form an LLC in Iowa (2026)
Facts checked October 13 to 15, 2026.
An Iowa LLC is formed by filing a Certificate of Organization with the Iowa Secretary of State, and the state charges $50 for it. You can file through Fast Track Filing online or on paper, and faster review is sold as a per-document surcharge starting at $15. Once formed, the LLC files a biennial report in odd-numbered years, due by April 1, for $30 online or $45 by paper.1, 2
What are the steps to form an LLC in Iowa?
All but the last step below happen with the Secretary of State before the company exists. The last one, the biennial report, comes due once the LLC is up and running.
- Check that your LLC name is available with the Iowa Secretary of State. You can reserve a name for $10.
- Name a registered agent in Iowa: a person or company with an Iowa address who accepts legal papers for the LLC.
- File the Certificate of Organization with the Iowa Secretary of State. The state fee is $50. Filing methods: Online (Fast Track Filing) or paper filing.
- Wait for approval. Faster options: Surcharge per document on top of the filing fee: 5 business days $15; 2 business days $50; same business day $125; one hour $200.
- File the recurring report: due every two years (odd-numbered years), due by April 1, fee $30 online, $45 by paper.
The order is flexible at the start. You can reserve a name before you have an agent lined up, but the certificate itself has to name the agent, so the agent question has to be settled before you file. Iowa law says each LLC shall designate and maintain a registered agent in this state, so the agent stays on record for the life of the company rather than for the filing alone.3
If you would rather hand the filing to a service, the Iowa LLC services list ranks each provider and shows what its plan costs here with the state fee added.
How do you check and reserve an Iowa LLC name?
Search the Secretary of State's business records for your name first, and if you want to hold it before filing, a name reservation costs $10. The state fees table sets that fee beside other states' reservation fees.1
The fee schedule we cite doesn't say how long a reservation lasts. If you plan to wait weeks or months between reserving and filing, ask the Secretary of State's office what period applies before you count on the hold.
A reservation is optional, so an owner ready to file can go straight to the certificate.
Who can serve as an Iowa registered agent, and whose address goes on file?
Iowa's rule is about location: the registered agent must have a place of business in this state, under Iowa Code § 489.115. The certificate you file lists the agent's name and street and mailing addresses in this state, so both a street address and a mailing address in Iowa go into the record.3
A registered agent is the person or company that receives lawsuits and official state notices for the LLC. The statute adds one more detail. Naming someone is an affirmation of fact by the limited liability company that the agent has agreed to serve, so ask a friend or relative before you put their name on the form.3
An owner with a place of business in Iowa can name themselves, which keeps the cost at zero but puts that address into the filing. A service puts its own Iowa address there instead. Prices vary a lot. Inc Authority lists its agent as free for the first year with LLC formation, then $249/year. Northwest Registered Agent charges $39 + state fees for formation and lists Registered agent service (free for first year) in that plan, renewing at $125/yr. The registered agent explainer covers what the role involves, and the list of plans that include an agent compares how long each one lasts.4, 5, 6
How do you file the Certificate of Organization, and how fast is it?
Iowa takes the Certificate of Organization online through Fast Track Filing or by paper filing. The Secretary of State doesn't publish a standard processing time, but it sells faster turnaround as a surcharge.1
The surcharge is charged per document on top of the filing fee, and Iowa sells it in these tiers.2
The state's page says the surcharge is per document and nonrefundable, with requests in person or via Fast Track Filing upload. If you use a formation service, ask whether its rush option pays one of these surcharges or only speeds up its own preparation. A service's speed claim and the state's review are two separate clocks; the LLC timeline guide explains both, and the stated processing list compares providers.2
What does an Iowa LLC cost in its first and second year?
In year one an Iowa LLC costs the $50 filing fee plus whatever plan or expedite tier you choose. Year two adds the biennial report fee and any plan or agent renewal.1
The table below adds Iowa's fees to each provider's compared plan. Rows follow our rating, with ties in the editorial order set out in how we rate.
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | $299 | $279 |
| LegalZoom | Managed Service | $299 | $30 |
| Bizee (formerly Incfile) | Premium | $349 | $30 |
| ZenBusiness | Premium | $349 | $329 |
| Swyft Filings | Standard | $249 | $30 |
| doola | Starter | $347 | $327 |
| Inc Authority | Free LLC | $50 | $30 |
| InCorp Services | LLC Formation Service | $149 | $30 |
| Northwest Registered Agent | Northwest LLC formation | $89 | $30 |
| BizFilings | Core | $249 | $30 |
| Rocket Lawyer | Standard membership | $199 | $179 |
| Harbor Compliance | Standard Formation | $149 | $30 |
Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
The second-year column counts the $30 online report fee once. Because the report is due only in odd-numbered years, any pair of back-to-back years holds a single report window. Whether it falls in your first year or your second depends on when you form. Paper filing raises that fee to $45 by paper.1
The column also leaves out agent renewals once a free agent period ends. Inc Authority Free LLC shows $50 in year one and $30 in year two, yet its agent renews at $249/year once the free year ends. Tailor Brands Elite reads $299 and then $279, because the plan itself renews. The cost calculator lets you add an agent, an EIN or an expedite tier, and the LLC cost guide sets Iowa's fees beside other states'.5
What does an Iowa LLC file after it is formed?
An Iowa LLC files a biennial report, not a yearly one. It is filed in odd-numbered years, due by April 1, and the fee is $30 online or $45 by paper.1
In a report year, filing opens on January 1st, and the report is due by April 1. The fee schedule we cite doesn't state a late penalty or list what the report asks for, so ask the Secretary of State if you need either detail.1
If an LLC does lose its active status, the state lists an Application for Reinstatement with a $5 fee. The fee page doesn't list the other conditions for reinstatement.1
Several services sell report filing, and the biennial cycle changes how their prices land. Northwest Registered Agent charges $100 + state fees, charged at filing, so in Iowa that bill comes only in a report year. InCorp Services lists $89 + state fees but doesn't publish whether that is billed per report or per year. Tailor Brands includes report filing in Essential and Elite, plans billed at $199/yr and $249/yr, and ZenBusiness sells Annual Report Filing $100 per report or Worry-Free Compliance $199/year. A yearly subscription keeps billing in the off year when Iowa asks for nothing. The annual report guide explains how filing services differ from reminder services.7, 8, 9, 10
How do you change an Iowa registered agent?
You change an Iowa registered agent by filing a Statement of Change with the Iowa Secretary of State, and the fee schedule lists it as No fee for an LLC.1
That makes moving away from a renewing agent service cheap at the state level. If a free first year is about to roll into a paid renewal, the new agent's price is the only cost.
Get the timing right. File the Statement of Change naming the new agent first, and cancel the old service only once the change is on record, so the LLC is never without an agent the law requires. The fee page doesn't describe how an agent resigns on its own, so ask the Secretary of State if your agent gives notice.1
What if your LLC was formed outside Iowa?
An LLC formed in another state registers to do business in Iowa with a Foreign Registration Statement, and the fee is $100.1
The agent rule in Iowa Code § 489.115 covers registered foreign LLCs too, so the company needs an agent with a place of business in Iowa.3
That is more than the $50 cost of forming a new Iowa LLC. Whether to register an existing company or form a new one here depends on where the business operates, which is a question for an accountant or lawyer. Neighboring states set their own fees; compare Illinois, Missouri, Minnesota and Nebraska.1

Every other year. The biennial report is due in odd-numbered years, due by April 1, and costs $30 online or $45 by paper. Filing online is the cheaper route.1
Can I be my own registered agent in Iowa?

How do I reinstate an Iowa LLC?
