How to form an LLC in West Virginia (2026)
Facts checked October 13 to 15, 2026.
You form a West Virginia LLC by filing the Articles of Organization (Form LLD-1) with the West Virginia Secretary of State, and the filing fee is $100. Standard review takes 5-10 business days, though the state sells faster review, from $25 for 24-hour turnaround to $500 for 1-hour. Naming an agent for service of process is optional in West Virginia. From the year after formation, the LLC files an annual report for $25, due between January 1 and June 30 of each year following the calendar year in which the business was registered.1, 2, 3, 4
What are the steps to form an LLC in West Virginia?
The list runs from the name check to the first annual report, and each step names its form and fee. Every filing in it goes to the West Virginia Secretary of State.
- Check that your LLC name is available with the West Virginia Secretary of State. You can reserve a name for $15 for 120 days.
- Decide whether to name an agent for service of process. West Virginia law lets an LLC name one but doesn't require it; if you name one, it must be a person or company with a West Virginia address who accepts legal papers for the LLC.
- File the Articles of Organization (Form LLD-1) with the West Virginia Secretary of State. The state fee is $100. Filing methods: Online via the One Stop Business Portal, or paper form (mail or in person).
- Wait for approval: Standard: 5 to 10 business days. Faster options: 24-hour $25; 2-hour $250; 1-hour $500 (in addition to the filing fee).
- File the recurring report (Annual Report (biennial report option after 5 consecutive timely annual reports, from July 1, 2026)): due between January 1 and June 30 each year, starting the year after registration, fee $25.
The agent step needs a closer look. The LLC statute (W. Va. Code § 31B-1-108) says an LLC may continuously maintain in this state an office and an agent, and "may" is the operative word. The section below explains what an agent does and what the law says if you leave the field blank.5
If you would rather pay a formation service to handle the filing, the ranked list of LLC services for West Virginia shows each provider's total with the state fee included.
How do you reserve a West Virginia LLC name?
You can hold a name with Form NR-1 for $15, and the reservation protects it for 120 days. Reserving is optional; filing the Articles of Organization claims the name anyway.6
A reservation is useful when the name is settled but the rest isn't, for example while co-owners agree on terms. If you mail Form NR-1, the check is made payable to the West Virginia Secretary of State.6
Does a West Virginia LLC need an agent for service of process?
No. West Virginia LLCs are not required to appoint an agent for service of process, and having none is not a ground for dissolution, though the law lets an LLC name one if it wants to.5
Service of process means the formal delivery of a lawsuit or other legal papers to a business. An agent is the person or company named in the LLC's state filing to receive those papers, so a court case doesn't depend on someone finding an owner. West Virginia's statute calls this role the agent for service of process (W. Va. Code §31B-1-108). The formation form words the field as the agent to whom notice of process may be sent, if any, and the closing "if any" tells you the field can be left blank.5, 7
Who can serve if you name one
If the LLC names an agent, the law limits who qualifies. The agent must be an individual resident of this state, a domestic corporation, another limited liability company, or a foreign corporation or foreign company authorized to do business in this state. So an owner who lives in West Virginia can act as the agent, as can a company that is set up to do business here.5
What happens without one
Leaving the agent field empty doesn't put the LLC at risk of administrative dissolution. The statute lists its grounds as unpaid fees/taxes, annual report not delivered within 60 days, license revocation, employment-program default, misrepresentation, and those grounds do not include lacking an agent. The sources we cite don't say where legal papers go when no agent is named, so ask the West Virginia Secretary of State or a lawyer if that affects your plans.5
The form also asks for a designated (physical) office. The statute describes that office as one which need not be a place of its business in this state, and it uses the same "may" wording for it.5, 7
Why some owners name one anyway
An agent gives the state and anyone suing the LLC a known place to deliver papers, which makes it less likely that a court notice goes astray. A paid agent service also puts its own address in the agent field instead of an owner's. Northwest Registered Agent sells its agent at $125 per year, and Inc Authority includes one free for the first year with LLC formation, then charges $249/year. Because the role is optional here, an agent included in a plan is one you can keep or drop once its free period ends. The registered agent guide covers the role in more depth, and the list of plans that include an agent shows which providers bundle one.8, 9, 10
How do you file the Articles of Organization, and how fast is it?
You file online through the One Stop Business Portal or on a paper form (mail or in person), and standard review takes 5-10 business days. Online filings carry an extra $1.00 processing fee. The state calls the One Stop Business Portal its fastest route, and paper forms remain an option for owners who prefer them.1, 2
West Virginia expedite fees
Faster review is sold per filing, in addition to the filing fee. The Expedite Service page lists these tiers.3
The paper form also lists an In-Person Same Day option.3
A formation service's stated speed is a separate clock. A provider may prepare and submit your Articles quickly, but the West Virginia Secretary of State still reviews them in 5-10 business days unless someone pays for expedite. The LLC timeline guide explains both clocks, and the fastest stated filing list compares providers on their published times.1
What does a West Virginia LLC cost in the first and second year?
In year one the state charges $100 to file, plus any expedite or reservation fee you choose. In year two the recurring state cost is the $25 annual report, and each provider's plan renewal comes on top.2, 4
The table gives each provider's first- and second-year total in West Virginia with the plan we compare. Rows follow our rating, with ties broken in the order described in how we rate.
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | $349 | $274 |
| LegalZoom | Managed Service | $349 | $25 |
| Bizee (formerly Incfile) | Premium | $399 | $25 |
| ZenBusiness | Premium | $399 | $324 |
| Swyft Filings | Standard | $299 | $25 |
| doola | Starter | $397 | $322 |
| Inc Authority | Free LLC | $100 | $25 |
| InCorp Services | LLC Formation Service | $199 | $25 |
| Northwest Registered Agent | Northwest LLC formation | $139 | $25 |
| BizFilings | Core | $299 | $25 |
| Rocket Lawyer | Standard membership | $249 | $174 |
| Harbor Compliance | Standard Formation | $199 | $25 |
Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
Two rows show how far apart the totals can be. Inc Authority charges nothing for its Free LLC plan, so its first year is $100 and its second $25, the state fees alone. Its included agent then renews at $249/year, a charge the table leaves out and one a West Virginia LLC isn't required to keep. Tailor Brands Elite comes to $349 in year one and $274 in year two, because the plan renews each year. Northwest Registered Agent totals $139, and its included registered agent renews at $125/yr after year 1.10, 11
The LLC cost calculator lets you swap plans and add expedite. For the national picture, see the lowest first-year totals and the guide to LLC costs.
What does a West Virginia LLC file after it is formed?
A West Virginia LLC files an annual report with the West Virginia Secretary of State between January 1 and June 30 of each year following the calendar year in which the business was registered. The fee is $25, so an LLC formed this year files its first report next year.4
Each report asks for updates to the managers or members authorized to sign filings, addresses, agent of process. Because the agent is on that list, the report is also where the LLC updates its agent details each year.12
Missing June 30 costs extra. A report received after that date carries a $50 late fee, for $75 in all. Failure to file within 60 days after due is a ground for administrative dissolution, so a forgotten report can lead to the LLC being dissolved.4, 12
The biennial option
A newer rule, effective July 1, 2026, lets an LLC that has timely filed annual reports for five consecutive years switch to reporting every other year, with a $50 biennial report fee. A new LLC can't use it straight away.4
Reinstatement
A dissolved LLC can apply to come back within 2 years using Form LLD-10. The application costs a $25 application fee plus all delinquent annual report fees and a $50 late fee per year, and it requires a WV Tax Division letter of good standing.13
Franchise tax
No business franchise tax is due in West Virginia. The state's record shows the business franchise tax eliminated for tax years beginning on or after Jan 1, 2015. Ask an accountant which other taxes apply to your LLC.14
Formation plans differ on the annual report. Tailor Brands includes annual compliance report filing and updates in its Essential and Elite plans, while Northwest Registered Agent sells an annual report filing service at $100 + state fees, charged at filing. The annual report guide and the package contents guide explain which plan items are filings and which are reminders.15, 16
How do you add or change an agent for a West Virginia LLC?
You appoint or change an agent with Form AAO, the Application to Appoint or Change Process, Officers, and/or Addresses, and the fee is $15. The state allows online filing via the One Stop portal, so you don't need a paper filing.17, 18
The same form covers officers and addresses, so it also handles a change of the LLC's addresses.
An agent can also step down on its own. It files a statement of resignation, the SOS mails copies to the LLC, and the agency ends on the 31st day after filing. Because an agent is optional here, the LLC can keep operating after that date without naming a new one, though naming one again uses the same form.19
What if your LLC was formed in another state?
An out-of-state LLC gets a Certificate of Authority to do business in West Virginia, and the fee is $150. The application needs a certificate of good standing/existence from the home state.20
Registering an existing LLC and forming a new West Virginia one are different steps with different fees, so where the business actually operates decides which fits. The foreign LLC guide explains the choice, and the state fees table compares costs with neighbors such as Virginia, Ohio and Pennsylvania.
