How to form an LLC in Pennsylvania (2026)
Facts checked October 13 to 15, 2026.
You form a Pennsylvania LLC by filing a Certificate of Organization (DSCB:15-8821) together with a Docketing Statement (DSCB:15-134A) with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations, and the filing fee is $125. The state asks you to allow 15 business days for processing, or you can pay for same-day or faster review starting at $100. Each year after that, the LLC files an Annual Report, due September 30 each year, for $7.1, 2, 3, 4
What are the steps to form an LLC in Pennsylvania?
The name check, the formation filing and the yearly report all go through the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. The list shows each step with its form and fee.
- Check that your LLC name is available with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. You can reserve a name for $70.
- Name a commercial registered office provider in Pennsylvania: a person or company with a Pennsylvania address who accepts legal papers for the LLC.
- File the Certificate of Organization (DSCB:15-8821), filed with a Docketing Statement (DSCB:15-134A); $125 with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. The state fee is $125. Filing methods: Online through Business Filing Services (account required) or by mail.
- Wait for approval: Allow 15 business days. Faster options: Same-day $100 (received before 10 a.m.); 3-hour $300 (before 2 p.m.); 1-hour $1,000 (before 4 p.m.), on top of filing fees.
- Recurring filing: Annual Report ($7), due by September 30 each year for LLCs, fee $7.
Two parts of that list need a closer look. The first is the agent step. Pennsylvania law says every LLC shall have and continuously maintain in this Commonwealth a registered office, and the Certificate of Organization asks for either a Pennsylvania address for that office or the name of a commercial registered office provider. Paid registered agent services act as that provider. The second is the paperwork itself: the state lists the Certificate of Organization as filed with a Docketing Statement (DSCB:15-134A), so the two forms go in together.1, 5, 6
Pennsylvania also leaves out two things other states add. No advertising is required when forming a domestic limited liability company, so there is no newspaper notice. And the state's old Capital Stock and Foreign Franchise Tax was eliminated for tax years beginning January 1, 2016 and after, so a new LLC owes no state franchise tax to stay registered. If you would rather hand the filing to a service, the ranked list of LLC services for Pennsylvania compares each one's total in this state.1, 7
How do you check and reserve a Pennsylvania LLC name?
Check the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations business records for your name before you file the Certificate of Organization. If you need time, the fee table lists a Name Reservation/Registration at $70.2
How long a reservation holds the name is a gap in the official record: the fee table gives no reservation period. Ask the Bureau before you count on a hold lasting until your filing date.
A reservation is optional. An owner ready to file can skip it and send the Certificate of Organization once the search comes back clear. The state fees table compares Pennsylvania's reservation fee with other states'.
Does a Pennsylvania LLC need a registered agent?
Not by that name. A Pennsylvania LLC needs a registered office in the state, and it can meet that rule by giving its own Pennsylvania address or by naming a commercial registered office provider instead.
The statute is 15 Pa.C.S. § 8825. It also lets an LLC satisfy the requirement by naming a commercial registered office provider. On the Certificate of Organization that choice shows up as a field for the commercial registered office provider and county of venue, so an LLC using a provider gives the provider's name and a county.5, 6
The trade-off is about addresses. If you list your own address as the registered office, that address is on the public record, and it shows up again on every Annual Report. Naming a provider puts the provider's details there instead. Several formation plans include a provider for the first year only. Bizee (formerly Incfile) includes one with its packages and then charges $149/year, while Inc Authority renews at $249/year after the free year. The registered agent included list compares those terms side by side.8, 9
How do you file the Certificate of Organization, and how long does it take?
You file online through Business Filing Services (account required), or you mail the paper forms to the Bureau with payment. The state asks you to allow 15 business days either way, and it gives no separate figure for online versus paper filings.3, 10
Online filing needs an account with Business Filing Services before you start. Paper filers send the Certificate of Organization, the Docketing Statement and the $125 fee together. The state's page doesn't say whether the Bureau takes ordinary filings in person.2, 10
Expedited review
Pennsylvania sells rush tiers, each with a cutoff time for the day you want. Expedited service fees are in addition to the statutory fees, so the $125 filing fee is still due.2
A formation service's stated processing time is its own preparation and submission time, separate from the Bureau's review, so a fast service still waits on the state unless someone pays one of these fees. The LLC timeline guide explains the two clocks, and the fastest stated filing list compares providers on what they publish.
What does a Pennsylvania LLC cost in the first and second year?
Year one costs the $125 filing fee plus any plan, reservation or rush fee you choose. In year two the state charges only the $7 Annual Report fee.2, 4
Everything else in year two comes from plan and agent renewals.
The table below shows each provider's first- and second-year totals in Pennsylvania with the plan we compare. Rows follow our rating, and ties keep the editorial order set out in how we rate.
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | $374 | $256 |
| LegalZoom | Managed Service | $374 | $7 |
| Bizee (formerly Incfile) | Premium | $424 | $7 |
| ZenBusiness | Premium | $424 | $306 |
| Swyft Filings | Standard | $324 | $7 |
| doola | Starter | $422 | $304 |
| Inc Authority | Free LLC | $125 | $7 |
| InCorp Services | LLC Formation Service | $224 | $7 |
| Northwest Registered Agent | Northwest LLC formation | $164 | $7 |
| BizFilings | Core | $324 | $7 |
| Rocket Lawyer | Standard membership | $274 | $156 |
| Harbor Compliance | Standard Formation | $224 | $7 |
Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
Because the state's yearly fee is so small, the second-year column mostly reflects what each provider bills. ZenBusiness Premium renews yearly, which brings its second year to $306. LegalZoom lists a one-time formation fee for Managed Service, so its second year shows $7, but LegalZoom also lists that its Business Advisor Plan auto-renews at $49/mo after 30 days; the LegalZoom pricing page has the figures.11
The column leaves out one cost. A second-year total of $7 for Inc Authority is the state fee alone, yet its provider service renews at $249/year unless cancelled. An owner who lists a Pennsylvania address as the registered office can drop that renewal; one who wants a provider on the record will pay it. The LLC cost calculator lets you add or remove the provider, and the national LLC cost guide puts Pennsylvania's fees next to other states'.9
What does a Pennsylvania LLC file after it is formed?
A Pennsylvania LLC files an Annual Report with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations each year, in a window from January 1 to September 30, and the fee is $7. The requirement is new: Annual reports began in 2025.4
The report asks for the LLC's registered office address, principal office address, at least one governor (manager or member), and principal officers if any, plus its name, home jurisdiction and Pennsylvania entity number. A governor is the state's word for a manager or member who runs the LLC. So at least one owner's or manager's name goes on the record every year. LLCs with a not-for-profit purpose pay $0. Restricted professional companies also file a Certificate of Annual Registration.4
Pennsylvania doesn't list a late fee. The penalty is harder: missing the report leads to administrative dissolution six months after the due date, enforced starting with 2027 reports. An LLC dissolved that way can come back, and the fees are $35 online or $40 on paper, plus $15 for each missing annual report. There is no time limit for domestic LLCs to apply.4
Formation services price this filing very differently, which is easy to see next to a state fee this low. Tailor Brands Elite lists mandatory report filing, and ZenBusiness Premium lists filing of state-required annual reports. Northwest Registered Agent charges $100 + state fees per filing, and LegalZoom lists a one-time filing at $99 + state filing fees. The package contents guide separates plans that file the report from plans that only send reminders.12, 13, 14, 15
How do you change the registered office or provider later?
You change it by filing a change of registered office with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations, and the fee table lists that filing at $5. Our record doesn't name the form number, so check the Bureau's forms page for the current version.2
File the change before you cancel an old provider. The statute requires the LLC to keep a registered office at all times, so a gap between the two leaves the LLC out of line with 15 Pa.C.S. § 8825.5
A provider can also leave. When a commercial registered office provider stops serving an LLC, it files a statement of change of registered office by agent and must promptly give the LLC a copy. The same fee table lists a Change of Registered Office by Agent filing. As for timing, the statute sets no advance notice period. Once that copy arrives, the LLC needs a new provider or a Pennsylvania address to keep meeting 15 Pa.C.S. § 8825.2, 5, 16
What if your LLC was formed in another state?
An LLC formed outside Pennsylvania registers to do business here by filing a Foreign Registration Statement, and the fee is $250.2
Foreign LLCs also file the yearly Annual Report, due September 30 each year as for domestic LLCs. One rule differs sharply: Foreign LLCs cannot reinstate and must file a new foreign registration statement. That makes the September deadline more costly to miss for an out-of-state company than for a Pennsylvania one.4
Whether to register an existing LLC or form a new one here depends on where the business operates, so it is a question for an accountant or lawyer. Neighboring states set their own rules; see the guides for Ohio, New York, New Jersey and Delaware.
Pennsylvania LLC questions
How much does it cost to start an LLC in Pennsylvania?
The Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations charges $125 to file the Certificate of Organization. Name reservation ($70) and expedited review (from $100) are optional. A formation service adds its plan price, and the table above shows each provider's first-year total in Pennsylvania.2
How long does Pennsylvania take to approve an LLC?
The Bureau asks filers to allow 15 business days, with no separate time for online or paper filings. Paying for Same-day $100 (received before 10 a.m.) or a faster tier shortens that, with the rush fee charged on top of the filing fee.2, 3
Does a Pennsylvania LLC have to file an annual report?
Yes. Annual reports began in 2025, and the report is due September 30 each year with a fee of $7. There is no late fee, but an LLC that doesn't file faces administrative dissolution, enforced starting with 2027 reports.4
Do I need a registered agent in Pennsylvania?
Pennsylvania asks for a registered office instead. You can list a Pennsylvania address you control or name a commercial registered office provider and county of venue. Either one meets 15 Pa.C.S. § 8825.5
Does a Pennsylvania LLC pay franchise tax?
No. The Capital Stock and Foreign Franchise Tax was eliminated for tax years beginning January 1, 2016 and after. Federal and state income taxes still apply, so ask an accountant how your LLC will be taxed.7
Do I have to publish a notice after forming a Pennsylvania LLC?
No. No advertising is required when forming a domestic limited liability company, in the Department of State's own words. That leaves no newspaper notice to arrange or pay for.1
What happens if my Pennsylvania LLC is dissolved for not filing?
It can be reinstated with an application costing $35 online or $40 on paper, plus $15 for each missing annual report. Pennsylvania sets no time limit for domestic LLCs, but foreign LLCs cannot reinstate and must register again.4
