How to form an LLC in Nebraska (2026)
Facts checked October 13 to 15, 2026.
You form a Nebraska LLC by filing a Certificate of Organization with the Nebraska Secretary of State, which costs $100 online or $110 in office. After the state accepts it, Nebraska law requires a notice of the new company to be published for 3 successive weeks in a legal newspaper near the designated office, and proof of publication is filed with the Secretary of State. From then on the LLC files a biennial report by April 1 of odd-numbered years, for a paper filing fee of $30.1, 2, 3, 4
What are the steps to form an LLC in Nebraska?
Forming a Nebraska LLC runs from the name search to the biennial report, and the newspaper notice is the step that comes after approval. Each step below shows its form and the state fee.
- Check that your LLC name is available with the Nebraska Secretary of State. You can reserve a name for $30.
- Name an agent for service of process in Nebraska: a person or company with a Nebraska address who accepts legal papers for the LLC.
- File the Certificate of Organization with the Nebraska Secretary of State. The state fee is $100 online, $110 in office. Filing methods: Online, in person or by mail.
- Wait for approval. Faster options: No paid expedite service listed; online filings are processed first.
- Meet the publication rule: Notice of organization must be published for 3 successive weeks in a legal newspaper near the designated office; proof of publication is filed with the Secretary of State.
- Recurring filing: Biennial Report (due April 1 of odd-numbered years; delinquent June 16), fee $30 (paper filing).
The filing and the newspaper notice carry most of the cost and the waiting. The notice runs across several weeks, and the proof has to go back to the Nebraska Secretary of State afterwards.
Nebraska also asks for two separate entries at formation, an agent and a designated office, and the sections below explain both. If you would rather have a service handle the filing, the Nebraska LLC services ranking compares each one's first-year total with the Nebraska fee.
How do you check and reserve a Nebraska LLC name?
Search the Nebraska Secretary of State business records for your name first, then hold it with an Application for Reserved Name if you need time. The reservation fee is $30.1
Our record of the fee schedule doesn't say how long a reservation lasts, so confirm that with the office when you apply.
Reserving is optional. It helps most when the newspaper notice, a lease or a partner's paperwork could push your filing back, and you don't want another business to take the name in the meantime.
Who can be the agent for service of process for a Nebraska LLC?
Nebraska calls the registered agent an "agent for service of process". The agent must be an individual who is a resident of this state or other person with authority to transact business in this state, so a Nebraska resident (including an owner) or a company allowed to do business in the state can take the role.5
The statute (Neb. Rev. Stat. § 21-113) says each LLC must designate and continuously maintain in this state two things: an agent and an office, which need not be a place of its activity in this state. So the Certificate of Organization asks for the initial agent for service of process and then, on its own line, the street and mailing address of the initial designated office. That second entry is the "designated office".5, 6
The biennial report repeats both entries, though our Nebraska record doesn't say which of them the state's public business search shows. An agent service fills the agent field with its own Nebraska address. The designated office line still needs one of its own. A few prices for comparison: Northwest Registered Agent lists its agent at $125 per year, InCorp Services at $129/year, and Bizee (formerly Incfile) includes it for the first year with formation, then charges $149/year. The services that include an agent list shows which plans bundle one, and the registered agent guide covers what the role involves.7, 8, 9
How do you file the Certificate of Organization, and can you speed it up?
You can file the Certificate of Organization online, in person or by mail, and online is both cheaper and faster. The fee schedule lists no paid expedite service; the state's own answer on expediting is that online filings are processed first.10, 11
The fee difference is small but real. Filing online costs $100, while paper filed at the office costs $110. Nebraska's fee statute also adds $10 for a certificate if one is requested, which the figures above leave out.1
With no expedite fee to pay, a formation service's speed claim reads differently here. A provider that says it files within a business day is describing its own preparation and submission. Once the papers reach Nebraska, the state reviews them on its own schedule, and it doesn't publish a standard processing time. The LLC timeline guide separates those two waits, and the fastest stated filing list compares providers on the part they control.
How does the Nebraska newspaper notice work?
After the LLC is formed, a notice of its organization must be published for 3 successive weeks in a legal newspaper near the designated office. The rule comes from Neb. Rev. Stat. § 21-193, and proof of publication is filed with the Secretary of State.2
So the newspaper is picked by the designated office's location, which is one more reason to decide that address with care. The newspaper sets its own price for the notice; our state record has no figure for it, so the totals on this page leave it out.
The last part is the filing that closes the step. Filing the affidavit, or proof of publication, costs $25 online or $30 in office, so online is again the cheaper route. None of the plan details in our provider records mentions the Nebraska notice, so ask before assuming a package covers it.2
What does a Nebraska LLC cost in the first and second year?
Filed online, a Nebraska LLC's first year costs $100 in state fees, plus the newspaper notice and its proof filing. In a year when the biennial report is due, the state adds a paper filing fee of $30.1, 4
The table adds those state fees to the plan we compare for each provider, in the order of our rating (ties in the editorial order described in how we rate).
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | $349 | $279 |
| LegalZoom | Managed Service | $349 | $30 |
| Bizee (formerly Incfile) | Premium | $399 | $30 |
| ZenBusiness | Premium | $399 | $329 |
| Swyft Filings | Standard | $299 | $30 |
| doola | Starter | $397 | $327 |
| Inc Authority | Free LLC | $100 | $30 |
| InCorp Services | LLC Formation Service | $199 | $30 |
| Northwest Registered Agent | Northwest LLC formation | $139 | $30 |
| BizFilings | Core | $299 | $30 |
| Rocket Lawyer | Standard membership | $249 | $179 |
| Harbor Compliance | Standard Formation | $199 | $30 |
Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
Read the second-year column with the report cycle in mind. It adds the $30 report fee to each plan's renewal, but the report is due only by April 1 of odd-numbered years. Depending on when you form, your first report may land in the first year or the second, and the years between reports carry no report fee at all.3, 4
The spread between providers is wide. Inc Authority's Free LLC plan totals $100 in the first year, the state fee alone, and $30 in the second; its included agent, though, renews at $249/year after the first year, and that isn't in the column. Swyft Filings Standard comes to $299 and then $30, because its plan is a one-time fee. Tailor Brands Elite is $349 and $279, since the plan bills every year. Profiles for Inc Authority, Swyft Filings and Tailor Brands list what each plan leaves out.12
The LLC cost calculator lets you add an agent or EIN to any plan, and the national LLC cost guide shows how Nebraska's fees sit against other states.
What does a Nebraska LLC file after it is formed?
A Nebraska LLC files a Biennial Report with the Nebraska Secretary of State by April 1 of odd-numbered years, and an unfiled report turns delinquent on June 16. The paper fee is $30. We found no state page that gives the online fee, so check the price when you file online.3, 4
The report is short. It asks for the company name, the designated office street and mailing addresses, the principal office street and mailing addresses, and the name and addresses of the agent for service of process. Each item is an address or the agent, which makes the report a good moment to confirm that the agent and office on record are still right.13
Missing it has a hard edge. No separate late fee appears on the SOS fee schedule; instead, if the report is still missing on the delinquency date, your company will be administratively dissolved or have its authority administratively revoked. An LLC dissolved this way can apply for reinstatement for $30 (within 5 years of dissolution). After that window, the fee schedule lists an Application for Late Reinstatement at $500.1, 3
Provider report services are priced in two ways, though none of them names Nebraska's biennial report in our records. Some charge per filing. Northwest Registered Agent's report service costs $100 + state fees, charged at filing. InCorp Services charges $89 + state fees, LegalZoom lists a one-time filing at $99 + state filing fees, and ZenBusiness charges $100 per report for a single filing. Others sell a yearly subscription, such as ZenBusiness's Worry-Free Compliance at $199/year or Swyft Filings' ComplianceGuard at $199/year, billed every year, including years when no Nebraska report is due. The package contents guide explains which plan items file a report and which only remind you.14, 15, 16, 17, 18
How do you change the agent or designated office later?
You change a Nebraska agent or designated office by filing a Statement of Change (designated office, registered agent/office) with the Nebraska Secretary of State, which costs $25 online or $30 in office. One filing covers either change, or both together.1
Name the new agent before you cancel the old service, so the company is never left without one. If the agent quits first, the agency ends on the earlier of the 31st day after the Secretary of State files the resignation or when a new agent designation takes effect, and the SOS sends a copy to the LLC's designated office. A Statement of Change filed in that window closes the gap.19
What if your LLC was formed in another state?
An LLC formed elsewhere registers in Nebraska with a Certificate of Authority. The fee is $110 in office / $100 online, plus $10 for the certificate. The statute's rule on who may serve as agent (Neb. Rev. Stat. § 21-113) covers foreign LLCs as well as Nebraska ones.1, 5
Whether to register an existing LLC or form a new Nebraska one depends on where the business operates and how it is taxed, which is a question for an accountant or lawyer. The state fees table compares Nebraska with its neighbours, including Iowa, Kansas, Missouri and South Dakota.
Nebraska LLC questions
How much does it cost to start an LLC in Nebraska?
The Certificate of Organization costs $100 online or $110 in office. On top of that come the newspaper's charge for the notice and the proof of publication filing, at $25 online or $30 in office. A name reservation ($30) is optional.1, 2
Do I have to publish a notice for a Nebraska LLC?
Yes. Nebraska law (Neb. Rev. Stat. § 21-193) requires the notice to be published for 3 successive weeks in a legal newspaper near the designated office. After the last run, proof of publication is filed with the Secretary of State.2
How long does it take to form an LLC in Nebraska?
Nebraska doesn't publish a standard processing time, and its fee schedule lists no paid expedite. Its own advice is that online filings are processed first. The newspaper notice then has to run, so the whole process takes weeks longer than the filing alone.11
Does a Nebraska LLC file an annual report?
Not every year. Nebraska LLCs file a biennial report by April 1 of odd-numbered years, and the paper fee is $30. If it is still missing on the delinquency date, the company can be administratively dissolved.3, 4
Can I be my own agent for service of process in Nebraska?
Yes, if you live in Nebraska. The statute (Neb. Rev. Stat. § 21-113) allows an individual resident or another person with authority to do business in the state. Your address then appears on the Certificate of Organization and on each biennial report.5
How do I reinstate a dissolved Nebraska LLC?
An LLC dissolved for a missing biennial report can apply for reinstatement at $30 (within 5 years of dissolution). Past that period, the fee schedule lists an Application for Late Reinstatement at $500. Filing the report on time avoids both.1
