How to form an LLC in Oklahoma (2026)
Facts checked October 13 to 16, 2026.
You form an Oklahoma LLC by filing articles of organization with the Oklahoma Secretary of State, online or on paper, and the state charges $100 plus a service fee. Oklahoma's statute (18 Okla. Stat. § 2010) sets who may serve as the LLC's registered agent. Once a year, on the anniversary of the LLC's formation date, the LLC files an Annual Certificate, and Oklahoma lists an annual LLC fee of $25.1, 2, 3
What are the steps to form an LLC in Oklahoma?
Forming an Oklahoma LLC takes four steps: check the name, choose a registered agent, file the articles of organization with the Oklahoma Secretary of State, then file an Annual Certificate every year. Each step and its fee is listed below.3
- Check that your LLC name is available with the Oklahoma Secretary of State.
- Name a registered agent in Oklahoma: a person or company with an Oklahoma address who accepts legal papers for the LLC.
- File the formation document with the Oklahoma Secretary of State. The state fee is $100 (plus a service fee). Filing methods: Online or on paper forms filed with the Secretary of State.
- File the recurring report (Annual Certificate): due each year on the anniversary of the LLC's formation date, with a 60-day grace period, fee $25.
The filing fee comes from state law. Oklahoma statute (18 O.S. § 2055(A)(1)) sets the charge for filing the original articles of organization at $100, and the state's business portal says registering costs $100 plus a service fee. The portal doesn't say how large that service fee is, so the totals on this page count $100 and leave the service fee out.1
Two steps sit outside the state's list. An EIN, the federal tax ID number, comes from the IRS for free, and when an online application is approved, the EIN is issued immediately online. An operating agreement is an internal document between the members. The EIN guide and the operating agreement guide cover both. If you would rather hand the filing to a company, the ranked list of LLC services in Oklahoma shows each one's first-year total in the state.4
Can you file an Oklahoma LLC online, and how long does it take?
Yes. Oklahoma accepts the articles of organization online through WWW.SOS.OK.GOV, 24 hours a day, 7 days a week, or on paper forms sent to the Oklahoma Secretary of State. The state's business portal says registering takes about 15 minutes.1
That portal estimate doesn't describe the state's review of the filing. The facts we hold for Oklahoma give no standard review time and no paid rush option, so this page doesn't quote either one and the cost table adds no expedite fee.
A formation service states its own processing time, which covers how fast it prepares and sends your filing. The state's review runs on its own schedule after that. The LLC timeline guide separates those two waits, and the fastest stated filing list orders providers by the time they publish.
Who can be the registered agent for an Oklahoma LLC?
An Oklahoma registered agent can be an individual resident of this state, a domestic or qualified foreign corporation, or a domestic or qualified foreign LLC or partnership. The statute (18 Okla. Stat. § 2010) also allows the LLC itself to act as its own agent.2
The agent is the person or company that receives lawsuits and official notices for the LLC. Oklahoma ties the agent to a physical office. The statute requires a business office at the registered office address, open during regular business hours to accept service of process. An owner who acts as the agent has to meet that office-hours rule too.2
An owner who can't keep those hours can hire an agent company, and the price varies a lot by provider. Inc Authority includes its agent free for the first year with LLC formation and then charges $249/year, while Northwest Registered Agent includes one with formation and renews it at $125/yr after year 1. The registered agent included list compares every provider that bundles one, and the registered agent guide explains the job itself.5, 6, 7
How much does an Oklahoma LLC cost in the first and second year?
An Oklahoma LLC costs $100 to form, before the unstated service fee, and the recurring state cost is the $25 annual fee. A formation service adds its plan price in year one and any renewal in year two.1
Because Oklahoma has a fixed yearly fee and no franchise tax for LLCs, the second year can be totalled here. The table shows both years with each provider's compared plan, in the order of our rating, with ties in the editorial order set out in how we rate.
First year: state filing fee plus the provider's compared plan. Second year: the recurring state fee plus the plan's renewal, if it renews.
| Provider | Plan | First year | Second year |
|---|---|---|---|
| Tailor Brands | Elite | $349 | $274 |
| LegalZoom | Managed Service | $349 | $25 |
| Bizee (formerly Incfile) | Premium | $399 | $25 |
| ZenBusiness | Premium | $399 | $324 |
| Swyft Filings | Standard | $299 | $25 |
| doola | Starter | $397 | $322 |
| Inc Authority | Free LLC | $100 | $25 |
| InCorp Services | LLC Formation Service | $199 | $25 |
| Northwest Registered Agent | Northwest LLC formation | $139 | $25 |
| BizFilings | Core | $299 | $25 |
| Rocket Lawyer | Standard membership | $249 | $174 |
| Harbor Compliance | Standard Formation | $199 | $25 |
Totals are our arithmetic on the published figures. Registered agent renewals are extra unless a plan includes the agent. Try other plans in the calculator.
The spread is wide. Inc Authority Free LLC comes to $100 in the first year and $25 in the second, which is the state's charges alone. Its included agent then bills $249/year, and that renewal isn't in the second-year column. Northwest Registered Agent totals $139 and then $25, with its agent renewing at $125/yr after year 1. Tailor Brands Elite, first on our rating, totals $349 and then $274, because the plan renews each year; that plan lists report filing, covered further down.6, 7
Agent renewals after a free period and items that start billing after a trial are left out of every row. Try your own plan and agent mix in the LLC cost calculator, or compare Oklahoma with its neighbors in the state fees table, including Texas, Kansas and Arkansas. The national LLC cost guide puts these figures in a wider frame.
What does an Oklahoma LLC file each year?
An Oklahoma LLC files an Annual Certificate each year on the anniversary of the LLC's formation date, with a 60-day grace period, and Oklahoma lists a $25 annual fee for LLCs. There is no fixed calendar date for every company; each LLC's date follows its own formation date.1, 3
That rolling deadline is easy to lose track of, since it falls on a different day for each company. The 60-day grace period gives some room. After it ends with no certificate filed, the entity becomes inactive and not in good standing. The state's FAQ gives that result with no late fee stated.3
Getting back is mostly paperwork. A Reinstatement form has no fee, but an Annual Certificate form is required for each year past due, so an LLC that lapsed for several years files a certificate, and its fee, for each of them. The annual report guide explains how recurring reports work across states.3
Oklahoma's franchise tax is not part of the yearly cost. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax, and the tax, which applied to corporations, ended after tax year 2023.8
Will a formation service file the yearly Oklahoma certificate?
Some plans include a yearly report filing and others sell it separately; none of the provider pages we cite names the Oklahoma Annual Certificate. The state's $25 fee is on top either way.1
Tailor Brands lists mandatory report filing on its Elite plan. Northwest Registered Agent sells its annual report service at $100 + state fees, ZenBusiness charges $100 per report for annual report filing, and LegalZoom lists annual report filing at $99 + state filing fees, marked as billed once. Oklahoma's recurring filing is called a certificate rather than a report, so confirm with the provider that its report service covers it. The package contents guide separates plan items that file something for you from those that only send reminders, and the Inc Authority profile and Northwest profile list what each plan leaves out.9, 10, 11, 12
What happens if your Oklahoma registered agent resigns?
An agent who wants to stop serving must give the LLC at least 30 days' notice, and the resignation takes effect 30 days after it is filed. If the LLC names no successor, the Secretary of State is deemed the registered agent until one is designated.2
That fallback keeps an agent on the record until the LLC names a new one. The statute (18 Okla. Stat. § 2010) also allows service on the Secretary of State when there is no agent. The resignation notice period is the time to pick a new agent and update the state's record.2
The facts we hold don't include Oklahoma's form or fee for changing an agent, so ask the Oklahoma Secretary of State before you file. Name the new agent before you cancel any paid agent service.
Oklahoma LLC questions
How much does it cost to start an LLC in Oklahoma?
The Oklahoma Secretary of State charges $100 plus a service fee to file the articles of organization online. The amount of that service fee isn't stated on the state portal. A formation service adds its plan price, and the table above shows each provider's first- and second-year totals in Oklahoma.1
How long does it take to form an LLC in Oklahoma?
Registering takes about 15 minutes, by the state's own estimate. The facts we hold give no standard review time after you submit. A service's stated speed covers only its own preparation, not the state's review.1
When is the yearly Oklahoma certificate due?
It is due each year on the anniversary of the LLC's formation date, with a 60-day grace period. The date follows the day the LLC was formed, so it differs from company to company. Oklahoma also lists an annual LLC fee of $25.1, 3
What happens if an Oklahoma LLC misses its yearly certificate?
After the grace period, the entity becomes inactive and not in good standing. The state's FAQ has no late fee stated. To reinstate, the LLC files the reinstatement form, which has no fee, plus a certificate for each year past due.3
Can my Oklahoma LLC be its own registered agent?
Yes. Oklahoma's statute (18 Okla. Stat. § 2010) allows the LLC itself, along with Oklahoma residents and qualified companies. The registered office must be open during regular business hours to accept service of process.2
Do Oklahoma LLCs pay franchise tax?
No. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax, and the franchise tax for corporations ended after tax year 2023. Other state and federal taxes still apply, so ask an accountant about your own situation.8
Can I file an Oklahoma LLC on paper?
Yes. The state says registration is available electronically or by filling out the appropriate forms and sending them to the Oklahoma Secretary of State. Online filing is open 24 hours a day, 7 days a week.1
